Application Materials
  • 1. An original copy of the Application Letter for the Registration (Filing) of Companies (For detailed requirements, please refer to the notes on the application forms; the registration notification-commitment system for market entities has been implemented in Beijing Municipality, according to which applicants shall submit the commitment statement in the application.)
  • 2. An original copy of the articles of association (The articles of association is signed by all shareholders (limited liability company) or signed by all sponsors (joint-stock limited company). The articles of association of the wholly state-owned company shall be formulated by state-owned assets supervision and administration institutions or by the Board of Directors and submitted for approval of state-owned assets supervision and administration institutions. The signing of the document shall be fulfilled by natural persons or legal persons, persons in charge, or authorized signatories that represent an organization with an official seal.)
  • 3.Shareholders' qualification certificates

    Natural person shareholders: A photocopy of their PRC Resident ID Card

    Enterprise legal person shareholders: A photocopy of the business license stamped with an official seal. (The photocopy of the business license shall be submitted by the enterprise legal person shareholders. For the submission of other types of shareholders' qualification certificates, please refer to the General Guidelines for Market Entity Registration.)

  • 4. An original copy of the appointment documents for legal representatives, directors, supervisors, and senior executives. (According to the Company Law of China and relevant regulations of the articles of association, to set up a limited liability company, the resolutions of shareholders or resolutions of shareholders' meeting shall be submitted; to set up a joint-stock limited company, the shareholders' meeting minutes shall be submitted (for a joint-stock limited company established by fundraising, the founding meeting's minutes shall be submitted); to set up a wholly state-owned company, Board Members and Board of Supervisors' appointment documents and Chairman of the company and Chairman of the Board of Supervisors' designation documents approved by the state-owned assets supervision and administration institutions shall be submitted. For the appointment of personnel in the company to be approved by the Board of Directors, Board of Supervisors, or General Meeting of Staff and Workers (Staff and Workers' Representative Congress), as stipulated in the Company Law of China and relevant regulations of the company, the resolutions of Board of Directors signed by the Chairman of the company, the resolutions of Board of Supervisors signed by supervisors, or the resolutions of the General Meeting of Staff and Workers (Staff and Workers' Representative Congress) signed by staff and workers (staff and worker representatives), and other relevant materials shall be submitted. Note: 1). Senior executives refer to managers, deputy managers, persons in charge of the finance of a company, secretaries of a listed company's Board of Directors, and other personnel specified in the articles of association. 2). A joint-stock limited company shall establish a Board of Directors and a Board of Supervisors. The Board of Directors shall consist of 5 to 19 members and the members of the Board of Supervisors shall be no less than three. The number of staff and worker representatives on the Board of Supervisors shall not be less than one-third of the total number of representatives. 3). A wholly state-owned company shall establish a Board of Directors and a Board of Supervisors. The members of the Board of Supervisors shall be no less than five. The number of staff and worker representatives on the Board of Supervisors shall not be less than one-third of the total number of representatives.)
  • 5. A photocopy of the certificate of lawful use of domicile (business premise). (Photocopy of the property ownership certificate signed or sealed by the property owner. A natural person as the property owner shall sign his/her own name in person. An institution as the property owner shall submit a photocopy stamped with an official seal. For other special circumstances, please refer to the General Guidelines for Market Entity Registration.)
  • 6. An original copy of the capital verification report (for a joint-stock limited company established by fundraising, a capital verification report issued by a lawfully established capital verification institution shall be submitted. If the first contributions of sponsors are non-monetary properties, a supporting document that proves the transfer of property rights shall be submitted.)
  • 7. An original copy of the review and approval document issued by the China Securities Regulatory Commission (shall be submitted if a joint-stock limited company established by fundraising initially issues shares to the public.)
  • 8. A photocopy of the approvals (permits) (For enterprises that need to be approved prior to registration or whose business scope to be registered involves items for approval prior to registration in accordance with laws, administrative regulations and decisions of the State Council, the photocopies of the relevant approval documents or permits shall be submitted.)
  • 9. A photocopy of the Registration Notification-Commitment Statement for Market Entities in Beijing Municipality (Where the handling of the matter is based on the notification and commitment system, the Notification and Commitment Statement for the Registration of Market Entities in Beijing - Commitment Statement of the Sponsor (Legal Representative) and the Notification and Commitment Statement for the Registration of Market Entities in Beijing - Commitment Statement of the Presenter shall be submitted.)

Some items you need to know in advance!

  • Conditions for application acceptance:

    1.All registration forms and other application documents shall be printed on white A4 paper and properly filled in and signed with blue or black ink pens or rollerball pens.

    2.Materials submitted on-site at the service desks shall be original copies unless the submission of photocopies is not indicated. Photocopies shall contain a statement verifying that the photocopy is identical to the original copy and shall be signed by the applicant, the designated representative, or the jointly entrusted agent.

    3.For applicants choosing to complete the whole registration process electronically, the scanning copies (photocopies) of the originals of certifications of eligibility status, identity certificates, approval certificates, articles of association, resolutions of meetings, and other materials can be submitted through the full-course electronic registration system. The above-mentioned materials can also be generated through the application document format set by the registration system before submission.

    4.If the materials being submitted in the application process require a signature but no signatory is specified, natural person applicants shall sign their own names in person. For legal persons and other institutions, the materials shall be signed by the legal representatives, persons in charge, or authorized signatories and stamped with an official seal. If the application documents are signed by others, a power of attorney signed by the authorizer shall be submitted. The original copy of the power of attorney shall be submitted and the signature shall be signed by the authorizer in person.

    5.If the materials or notarized certificates and documents are written in a foreign language, the Chinese translation of the said documents, stamped with an official seal of the translation institution, shall be attached for submission. The translation shall contain a statement certifying that the translations are accurate. The applicant shall also submit a photocopy of the qualification certificate of the translation institution.

    6.Real name authentication is required if the registration is applied for by natural persons. Real name authentication can be processed by the real-name authentication system of the registration authority. If the applicants are not able to get the identity information verified through the real-name authentication system, they can submit legally notarized identity documents.
