I. Deregistration of sole proprietorship enterprises
1. The original of the application form for enterprise deregistration is needed. (See the application form's notes for detailed requirements; market entities under the notification-commitment registration system, which is implemented city-wide, shall submit the Letter of Commitment at the same time.)
2. The original form of liquidation report is needed. (This must be confirmed by the investor or a Chinese People's Court.)
3. The original form of the liquidation document showing a designated liquidator is needed. (This is required for deregistrations applied by the liquidator.)
4. The original form of tax clearance certificate of the enterprise is needed. (Paper tax clearance is not necessary if the registration authority has checked the tax clearance procedures online.)
5. The duplicate and the photocopy of the approval document (permit) (where approval is required by laws, administrative regulations or the State Council for the deregistration of a sole proprietorship enterprise, photocopies of the relevant approval documents shall also be submitted) are needed.
6. The original and the duplicate of the business license are needed. (Enterprises using the paper version of their business license are required to supply the original and the duplicate.)
II. Simple deregistration of sole proprietorship enterprises
1. The original of the application form for enterprise deregistration is needed. (Please refer to the application notes for detailed requirements; market entities under the notification-commitment registration system, which is implemented city-wide, shall submit the Letter of Commitment at the same time.)
2. The original form and the duplicate of the business license are needed. (Enterprises using the paper version of their business license are required to supply the original and the duplicate.)
3. The original letter of commitment of all investors regarding deregistration is needed. (Enterprises entering compulsory liquidation or filing for bankruptcy shall submit the relevant ruling of the People's Court. If an enterprise decides to dissolve and meets the conditions for simple deregistration, it may announce to the public this and all investors' commitment information (excluding enterprises that have terminated proceedings due to compulsory liquidation and bankruptcy procedures) through the "main entities cancellation" tab of the "enterprise legal persons" on the e-window platform of Beijing enterprise service. The announcement will thus be publicized through the National Enterprise Credit Information Publicity System. The publicity period for this is 20 days. Enterprises that cannot make announcements through the enterprise credit information publicity system can provide the announcement after the expiration of the 20-day publicity period.)
4. The original letter of notification-commitment for registration of Beijing market entities is needed. (Enterprises handling registration issues by means of the notification-commitment system are required to submit the Registration Notification- Commitment System for Beijing Market Entities – Letter of Commitment of the Investor (Legal Representative) and the Registration Notification- Commitment System for Beijing Market Entities – Letter of Commitment of the Submitter)

1. Registration application documents and other application materials shall be submitted on white A4 paper, neatly filled out, and signed with fountain pens or ballpoint pens in either black or blue ink.
2. For the on-site submission of materials, if no photocopy is provided, the original shall be submitted (if photocopies are not marked as such they will be treated as originals); where a photocopy is submitted, it shall be marked with "identical to the originals" and signed by the applicant, or by a designated representative or jointly entrusted agent.
3. For enterprises applying for registration online, the proof of entity qualification, proof of identity, approval certificate, articles of association, resolution and other documents can be submitted as original images (photocopies) through the electronic registration system. Alternatively, relevant materials can be generated and used through the standard format application document set out by the registration business system.
4. If a signature is required for the materials submitted in the application process but no signatory is specified, with reference to the application form's notes about the applicant, natural persons shall sign their own names personally; for legal persons and other institutions, the materials shall be signed by the legal representatives, persons in charge or authorized signatories, and stamped with official seals. People unable to sign in person shall submit a power of attorney with their in-person signatures to authorize another person to sign. The power of attorney should be submitted in the original, and the entrusted person shall cooperate with the registration authority for real-name authentication.
5. If submitted materials and notarized and certified documents are in foreign languages, they shall be immaculately translated into Chinese. The Chinese translations and the original documents in a foreign language shall be submitted at the same time, with an explicit expression that "This translation is accurate". The translation company shall affix its official seal (special seal for translation) on the translated photocopy or attach copies of the business license and other qualification certifications, and specify the translator and contact information. In the case of translation by a natural person, the translator shall sign the translation, specify contact information and attach a photocopy of his/her translation qualification certificate or identity document.
6. During registration and recordation, applicants shall cooperate with registration authorities in the process of real-name authentication for relevant personnel via facial recognition and other methods in the real-name authentication system. In cases where natural persons are unable to verify identity information through the real-name authentication system due to special reasons, the lawfully notarized identity documents can be submitted, or the natural persons can bring their identity documents to a service center for on-site processing.
7. Before applying for deregistration, a sole proprietorship enterprise shall log into the National Enterprise Credit Information Publicity System and post a creditor announcement (or publish a notice in a newspaper). The publicity period shall be 60 days.
