
The registration authority concerned shall conduct a format review of the application materials. In the case where the application materials are confirmed to be complete and comply with the legal format, the application for registration shall be processed immediately. If immediate registration is not possible, the registration must be completed within three working days. In complicated cases, this period may be extended by an additional three working days with the approval of the official in charge of the registration authority. If the submitted materials are incomplete or not in the prescribed format, the registration authority shall inform the applicant at once of the necessary supplements or corrections. 1. Registration of Enterprise Changes {This includes changes to the enterprise name, type, business scope, domicile, registered capital, name of the legal representative, and names or titles of shareholders (for limited liability companies) or founders (for joint-stock companies)}
(1) Basic materials (Only the basic materials are required to increase registered capital.): Application for Enterprise Registration (Filing); a resolution or decision to amend the articles of association; revised articles of association or amendments to the articles of association; approvals (licenses); business license

(5) Additional materials required for decrease in registered capital: A sample of the newspaper announcement; a statement regarding the settlement of company debts or debt guarantees
(6) Additional materials required for change in business scope: Approvals (licenses)
(7) Additional materials required for shareholder change: Equity transfer agreement or delivery document signed by both parties; new shareholder's eligibility certificates or identification documents. For changes involving natural person shareholders, a certificate of personal income tax payment or tax declaration related to the equity transaction is required. For equity obtained through inheritance or bequest, submit effective legal documentation for shareholder registration. For equity transfer based on a court judgment or ruling, submit the written judgment or ruling by the court.
(8) Materials required for the change of title or name of shareholders or founders: If a shareholder or founder changes their name, submit proof of the title or name change, along with the new eligibility certificate or identification documents following the name change. For foreign investors changing their names, proof of the name change is required. For investors from the Hong Kong Special Administrative Region (SAR), Macao Special Administrative Region (SAR), or Taiwan (China), respective proof of name change must be submitted.

Materials required for non-corporate enterprise legal entities seeking reformation registration under the Company Law: Reformation Registration (Filing) Application for Non-Corporate Enterprise Legal Entities; reformation approvals; employee representative assembly resolutions; approvals (licenses); articles of association after reformation; copies of eligibility certificates or identification certificates for shareholders or founders after reformation; company resolutions or decisions made after reformation; documents appointing legal representatives, directors, supervisors, and senior executives; business license; property rights delineation documents; Commitment Letter for Registration Notification of Market Entities in Beijing
3. Inter-provincial relocation registration for market entities
(1) Market entities relocating from another city or province to Beijing must submit copies of all registration documents and their business license to the registration authority at the destination. If changes in domicile, name, or other registration items are included during the relocation, the associated materials should be submitted concurrently. Once the destination registration authority confirms the completeness of the registration document copies, it will issue the Approval for Relocation and File Transfer along with the Notification for Application Material Amendments. Once the market entity receives the Approval for Relocation and File Transfer, it must request the original documents from the original registration authority to be sent to the new registration authority. After receiving and verifying all these original documents, the new registration authority will guide the market entity to complete the registration process with the necessary additional materials indicated in the Notification for Application Material Amendments via a phone call. If all application materials are confirmed to be complete and comply with the legal format, the updated business license will be issued on the spot.
(2) Market entities relocating from Beijing to another city or province must apply to the destination's registration authority to obtain the Approval for Relocation and File Transfer issued by that authority. After completing the Market Entity Relocation Application, they must present the Approval for Relocation and File Transfer, along with the original and duplicate business licenses, to the current registration authority to proceed with the relocation process.
4. Registration of Branch Office Changes
(1) Basic materials: Application for Branch Office Registration (Filing); approvals (licenses); business license
(2) For name changes: Business license of the parent company after the name change
(3) For changes in business premises: Documentation proving legal use of the new domicile (business premises)
(4) For changes in the person in charge: Dismissal document for the previous person in charge; appointment document for the new person in charge; Resident Identity Card of the People's Republic of China for the new person in charge; proof of the name change of the person in charge.
(5) For changes in business scope: Approvals (licenses)
(6) For changes in enterprise type: Updated business license reflecting the new company type.
(7) Materials required for registering changes to a branch office under a new or continuously existing company following the merger or division of the parent company include: The merger agreement; documents confirming the merger or division; the business license for the newly established or continuously existing company resulting from the merger or division.

(1) Materials required for establishing, changing, or deregistering a company following a merger or division include (In addition to the standard registration materials for establishment, change, or deregistration, companies applying for establishment, change, or deregistration due to a merger or division must submit the following materials): Decisions or resolutions on amending the articles of association; a sample of the public announcement submitted for publication in the newspaper; the business license for each company involved in the merger or division; a statement of debt settlement or guarantee; approvals (licenses); deregistration documents for dissolved companies, detailing the merger or division, or change documents for continuously existing companies that reflect the division; business license; Commitment Letter for Registration Notification of Market Entities in Beijing
