The registration authority shall conduct a formal review of the materials submitted. Application materials confirmed to be complete and legally compliant shall be registered on the spot. Registration that cannot be completed on the spot for whatever reasons shall be processed within 3 working days. For complicated situations, this may be extended by another 3 working days with the approval of the individual in charge of the registration authority. The registration authority shall notify the applicant of the materials that need to be supplemented or corrected if they are incomplete or not legally compliant. I. Company Registration and Recordation (including articles of association, operating period, subscribed capital contribution by limited liability company shareholders or joint-stock limited company initiators, directors, supervisors, senior managers, registration liaison officers, and legal document recipients for foreign-invested enterprises)
(1) Basic materials required: Application form for company registration (recordation), approval documents (licenses)
(2) The filing of articles of association requires: amended articles of association or amendments to the amended articles of association, resolutions or decisions on amending articles of association.
(3) Materials required for the filing of the term of operation and subscribed capital contribution:
1. Amended company articles of association or amendments to the amended articles of association
2. For changes in the amount of subscribed capital due to partial equity transfer between shareholders, the equity transfer agreement or equity delivery document signed by both shareholders is also required.
3. For shareholders transferring their equity as natural persons, the tax payment certificate for personal income tax related to the equity transfer or the tax declaration certificate for personal income tax related to the equity transfer is also required.
4. For the transfer of state-owned property rights in Beijing Municipality: the property rights transaction certificate issued by Beijing Property Rights Exchange Co., Ltd. is also required.
5. For the transfer of central state-owned property rights, the property rights transaction certificate issued by a central State-owned property rights trading pilot institution is also required.
6. For the transfer of state-owned property rights outside Beijing Municipality, the property rights transfer delivery documents issued by a designated property rights trading institution is also required.
(4) Resolutions or decisions regarding the appointment and dismissal of directors, supervisors, and senior managers
(5) For the replacement of registration liaison officers, the application form for company registration (filing) is also required.
(6) For the replacement of the recipient of legal documents for overseas investors, the following documents are required: the application form for company registration (filing), the main qualification documents of the authorized person or the natural person's identity certificate, which is the Resident Identity Card of the People's Republic of China.
