Changes to Enterprise Registration Information (Within Authority of Prefectural-Level Cities)

The registration authority shallconduct a formal review of the materials submitted. In the case where the application materials areconfirmed to be complete and legally compliant,the information of the applicant (enterprise) shall beregistered on the spot. Registration that cannot be completed on the spot for whatever reason must be processed within threeworking days. In the event of complications, the deadlinemay be extended by another threeworking days with the approval of the personin charge of the registration authorityconcerned.The registration authority shallnotifythe applicant once of additions or corrections that are required in the event materials are found to be incomplete or not legally compliant. 1.For registering changes (of the enterprise'sname, type, business scope, premises, amount of registered capital, name oflegal representative, andnames/titlesof shareholders of alimited liability enterpriseorthose of theinitiators of ajoint-stockenterprise)

(1) Basic materials (only basic materials are required whenincreasingthe amount of registered capitalonly): An applicationformfor enterpriseregistration (recordation); a resolution or decision on amending theenterprise's articles of association; revised articles of association or the amendment to articles of association; approvaldocuments(licenses); business license

(2)Additional materials required for changing thenameof the enterprise(in most cases, only basic documents for an application of this kind):Anauthorizationdocumentor supporting documentation of other kindsfrom the trademark owner; thetrademark'sregistration certificate; the trademark owner's qualification certificate; a commitment letter for independent application; documents detailing cross-provincial operations (stamped by the enterprise concernedfor operations spanning two or more provincial-level administrative divisions); documentsdetailing theoperations in differentsectors

(3)Additional materials required for changing thepremises: A Property Ownership Certificate of the People's Republic of China signed or stamped by the property owner

(4)Additional materials requiredforchangingthe legal representative: The documentspecifying theremoval ofthe previous legal representative; the document appointing the new legal representative(forchangingthe name of the legal representative: a qualification document or an identity documentissued by apublicsecurityorgan)

(5)Additional materials requiredfordecreasingthe amount ofregistered capital: Acopy of anannouncement in anewspaper and a statement of debt settlement/guarantee

(6)Additional materials requiredforchangingthe scope of business: Approvaldocuments(licenses)

(7)Additional materials requiredforchanging ashareholder: An equity transfer agreement or delivery document signed by both shareholders; the new shareholder's qualification document oridentity document(If a natural person shareholder is changed, personal income tax declaration for the equity transaction or proofdocumentationof paymentsis required; for equity obtained through inheritance/bequest, effective legal documentation for registration of the shareholder is required; a court decision/order is required for theequity transferred following apeople'scourt'sjudgment/ruling.)

(8)Additional materials requiredforchangingthe namesor titlesof shareholders or initiators:When a shareholder/initiator changes his/herown name, proof of the name change is required along with the new qualification document or the identity document of the natural person in question. In the case where aforeign investorhas changed his/her name, proof of the changeissued in a foreign countryis required; for investors from Hong Kong SAR, Macao SAR, or theTaiwanregion, proof of the name changeissued in the corresponding regionsisrequired.

Materials required from anon-corporate enterprise legal entityto registeritsrestructuring in accordance with theCompanyLawof the People's Republic of China: An "ApplicationFormforRegistration/Recordation ofRestructuring for Non-CorporateEnterpriseLegalEntities";an approval document for restructuring; employee representative assembly'sresolution; anapprovaldocument(license); articles of association following restructuring; shareholder or initiator'squalification document or natural person'sidentity documentfollowing restructuring; resolution/decisionof the enterprise following restructuring; documents appointing legal representatives, directors, supervisors, and managers; the business license; documentation of property rights; Commitment Letter for Registration Notification of Market Entities in Beijing

3. Inter-ProvincialRegistration for MarketEntities

(1)Materials required for a market entity to berelocatedto Beijingfrom elsewhere:Photocopies of all registration documents and the business license which shall be submitted to the registration authority inthe place of destination. For an enterprise alsoapplying for change(s)to the premises,nameor/and other information, the corresponding materials should be submitted simultaneously; ifphotocopies of the registration documentsare complete, the registration authority will issue a "Permission to Relocate and Transfer Files"and a "Notification for RemainingMaterials Required".After the "Permission to Relocate and Transfer Files"has been issued, a request should be submittedby the market entity concernedto the originalregistration authorityfor all original documents to be sent to the registration authorityinthe place of destination. Once the latter has received and verified all the original documents, itwill contact the entity to complete registration with the additional materials required in the "Notification for Remaining Materials Required". If application materials are confirmed to be complete and legally compliant, anupdated business license can be issued on the spot.

(2)Materials required for a market entity to berelocatedfrom Beijing to elsewhere: An applicationmust be submitted to the registration authority inthe place of destination to obtain a "Permission to Relocate and Transfer Files". After the "Market Entity Relocation Application"has been filled out and the "Permission to Relocate and Transfer Files"received, theoriginalcopy and duplicate of thebusiness license should be taken to the current registration authority to complete all the proceduresfor relocation.

4. Registering a Change for a BranchOffice

(1) Basic materials: An applicationformfor theregistration (recordation)of the enterprise branch,anapprovaldocument(license), and the business license

(2)For changing the name:The business license of the parent enterpriseafter the changeis made

(3)Forchanging thebusiness premises:The documentforlegal use of the new business premises

(4)Forchangingthe person in charge: The document specifying the removal ofthe person formerly in charge, the document appointing the new person in charge, thePRC Resident ID Card for the new person in charge, andthedocument proving the change of thename of the person in charge

(5) For changing thebusiness scope: Approvaldocuments(licenses)

(6)For changing the enterprise's type: The business license after the change of the enterprise'stype

(7)In the case where an enterprise affiliated with a subsidiarybecomes a subsidiary ofthe new or existing enterpriseafter themerger/separation of the parent enterprise:Amerger agreement(only in the case of a merger);adocument proving merger/separation; the business license for the newly established or existing enterpriseafter the merger/separation

(8)For changingthe contact person for registration:An application for enterpriseregistration (recordation)

6. Merger/Separation of anEnterprise

(1)Materials required for establishing, changing, or deregistering a market entity following the merger/separation of an enterprise (for any enterprise established, changed or deregistered due to merger/separation, the following materials shall be submitted in addition to the registration materials for establishment, change, or deregistration): The decision /resolution on amendments to the charter, a copy of the announcement submitted for publication on a newspaper, the business licenses of all enterprises involved in merger/separation, a statement of debt settlement or debt guarantee, approval documents (licenses), deregistration documents of the companies dissolved with details of merger/separation or the documents specifying the changes of existing companies with details of separation, the business license, and a Commitment Letter for Registration Notification of Market Entities in Beijing

(2)Materials requiredforregisteringa changeresulting frommerger/separation by shareholders(to be submitted when the shareholders have been changed due to the merger/separation of an enterprise and the changes need to be registered): Anapplicationfor enterpriseregistration (recordation); theresolution/decisionfor mergeror separation; documents specifyingderegistration or changes; the articlesof association or amendments to the articles of association;certificatesof eligibility for shareholders newly established or existing after merger/separations;approvaldocuments(licenses); theoriginalcopyand duplicate thebusiness license; aCommitment Letter for Registration Notification of Market Entities in Beijing
