Application Materials
  • 1. An original copy of the Application Letter for the Registration (Filing) of Companies
  • 2. An original copy of articles of association (signed by all shareholders if you are a limited liability company or all promoters if you are a company limited by shares)
  • 3. Entity qualification certificate of investors

    Chinese Investors

    Natural person's People's Republic of China resident ID card (Paste it on the Identity Document Page of the Natural Person Shareholder (Promoter) or the Qualification Document Page of Non-natural-person Shareholder (Promoter) in the application letter); or business license affixed with an official seal of the company (Paste it on the Identity Document Page of the Natural Person Shareholder [Promoter] or the Qualification Document Page of Non-natural-person Shareholder [Promoter] in the application letter.) (Late submission is allowed.); or Certificate of Public Institution with Legal Person Status affixed with an official seal of the institution (Late submission is allowed.); or Social Organization Legal Entity Registration Certificate affixed with an official seal of the organization (Late submission is allowed.); or Registration Certificate of Private Non-enterprise Entities affixed with an official seal of the unit. (A photocopy of the abovementioned documents shall be provided.)

    Foreign Investors

    A photocopy of the original entity qualification certificates or the identity documents of the foreign investors (Notarization by the competent authority in his or her home country and then authentication by the embassy [consulate] of China in that country are required. If the country has no diplomatic relations with China, it shall be certified by the embassy [consulate] in that country of a third country that has diplomatic relations with China, and then by the embassy [consulate] of China in that third country. Documents issued by an overseas territory of a country shall be notarized in that territory first, then certified by the diplomatic agencies of that country, and finally certified by Chinese embassy [consulate] in that country. The above stipulations shall apply unless otherwise provided in any international treaty China has concluded or acceded to. Foreign natural persons who set up companies in China and submit the People's Republic of China Foreign Permanent Resident ID Card as his/her identity document don't need to go through the notarization process.)     Investors from Hong Kong, Macao and Taiwan

    The entity qualification certificate of investors from Hong Kong, Macao and Taiwan (The original notarized documents issued by the local notarial office shall be provided in accordance with special provisions or agreements. The identity document of natural person investors from Hong Kong or Macao refers to the permanent resident identity card of Hong Kong or Macao, passport of Hong Kong or Macao, residence permit for Hong Kong and Macao residents issued by the public security authorities of the Chinese Mainland or Chinese Mainland travel permit for Hong Kong and Macao residents issued by exit-entry administration authorities of the Chinese Mainland, among which residence permits for Hong Kong and Macao residents or Chinese Mainland travel permits for Hong Kong and Macao residents can be submitted without notarization. Residence permit for Taiwan resident issued by the public security authorities of the Chinese Mainland or Chinese Mainland travel permit for Taiwan residents issued by exit-entry administration authorities of the Chinese Mainland can serve as the identity documents for natural person investors from Taiwan without notarization. Natural persons from Hong Kong Special Administrative Region and Macao Special Administrative Region who use Chinese Mainland travel permits for Hong Kong and Macao residents and Chinese nationals who have settled abroad (overseas Chinese) who use passports for registration can complete real-name verification through the National Real-name Verification System for Enterprise Registration.) (Late submission is allowed.) or a photocopy of the original identity document (Late submission is allowed.)

  • 4. An original copy of appointment documents of the legal representatives directors, supervisors, and managers (Late submission is allowed.); A photocopy of the original identity document (1. Where the appointment information on the Data Page of Legal Representatives, Directors, Managers and Supervisors of the application letter is signed for confirmation, no such submission is required. The photocopy of the original identity document shall be pasted on the Identity Document Page of Directors, Managers and Supervisors. 2. According to the regulations of the Company Law of People's Republic of China and the Articles of Association, limited liability companies shall submit Shareholders' Decisions or Resolutions of Shareholders Meetings, and companies limited by shares incorporated by means of sponsorship shall submit minutes of shareholders meeting [companies limited by shares incorporated by means of stock floatation shall provide minutes of the founding meeting]. Where the appointment of company personnel is decided by the Board of Directors or Supervisors based on the Company Law of the People's Republic of China and the Articles of Association, resolutions of the Board of Directors signed by the directors and of the Board of Supervisors signed by supervisors shall be submitted. 3. Where the property ownership certificate is not obtained, documents shall be submitted based on the requirements of the General Guidelines on Investment License Application. If the property owner is a natural person, the abovementioned documents shall be signed by the natural person. If the property owner is an entity, the abovementioned documents shall be affixed with an official seal.) (Late submission is allowed.)
  • 6. An original copy of the approval document (permit) (For enterprises that need to be approved prior to registration or whose business scope to be registered involves projects needing approval prior to registration in accordance with laws, administrative regulations and decisions of the State Council, the photocopies of the relevant approval documents or permits shall be submitted).
  • 7. An original copy of the notification and commitment letter (Where the handling of the matter is based on the notification and commitment system, the Notification and Commitment System for the Registration of Market Entities in Beijing - Commitment Letter of the Sponsor (Legal Representative) and the Notification and Commitment System for the Registration of Market Entities in Beijing - Commitment Letter of the Presenter shall be submitted).
