I. Registration of changes to a branch of a sole proprietorship enterprise

(I) Basic materials required to be submitted:

1. An original copy of the application form for registration (filing) of the branch (See notes on the application form for detailed requirements; market entities under the informed commitment registration system, which is implemented city-wide, shall submit the Letter of Commitment at the same time.);

2. A photocopy of the approval document (permit) (For items that are required to be submitted for approval before registration according to laws and administrative regulations, photocopies of the relevant approval documents or permits shall be submitted.);

3. An original copy and a duplicate of the business license (Enterprises applying for registration of changes who have obtained a printed business license are required to return the original and duplicate of the business license.);

(II) For a change of name: a photocopy of the business license of the post-change parent enterprise (when applying for a change of branch name due to the change of the name of the parent enterprise, a photocopy of the business license of the parent enterprise is required. See the General Guidelines for Market Entity Registration for detailed requirements);

(III) For a change to business premise: a photocopy of the document proving legitimate use of the domicile (business premise); (A photocopy of the property ownership certificate signed or stamped by the property owner. If the property owner is a natural person, the photocopy shall bear his/her autograph; if the property owner is an entity, the photocopy shall bear its official seal. In other circumstances, please refer to the General Guidelines for Market Entity Registration.)

(IV) For a change of the responsible person(s):

1. An original copy of the appointment and removal document. (The sole proprietor of the branch shall sign and confirm the appointment information of the responsible person of the branch and attach a photocopy of the ID card in the application.)

2. A photocopy of the ID card of the newly appointed responsible person of the branch (If the responsible person of the branch changes his or her name, a photocopy of the identity certificate issued by the public security department after the change shall be submitted; if the ID card number of the natural person involved remains unchanged after the name change, only a photocopy of the new ID card is required, not any certificate from the public security authority.);

(V) For a change to business scope: one original approval document (permit) (Where the post-change business scope involves items that requires approval before registration according to laws, administrative regulations, or State Council decisions, photocopies of the relevant approval documents or permits shall be submitted.)

(VI) An original letter of informed commitment for registration of Beijing market entities (Enterprises that make their application by means of  informed commitment shall also submit the Informed Commitment Registration System for Beijing Market Entities – Letter of Commitment of the Investor (Legal Representative) and the Informed Commitment Registration System for Beijing Market Entities – Letter of Commitment of the Submitter)

II. For a change of registration liaison: an original application for registration (filing) of the branch (A completed Liaison Information Form and a photocopy of the identity certificate of the liaison attached to the application)

III. Materials required for suspension of business

(I) An original copy of the application form for the registration and filing of suspension of business of market entities (See notes on the application form for detailed requirements; market entities under the informed commitment registration system, which is implemented city-wide, shall submit the Letter of Commitment at the same time.); 

(II) An original copy of the letter of commitment for suspension of business (See notes on the application form for detailed requirements; market entities under the informed commitment registration system, which is implemented city-wide, shall submit the Letter of Commitment at the same time.)

1. The application documents and other application materials shall be submitted on white A4 paper, neatly filled out, and signed with fountain pen or ballpoint pens in black or blue ink.

2. For on-site submission of materials, where there is no requirement for providing photocopies, the original shall be submitted (where there is no requirement for photocopies, originals are required); where a photocopy is submitted, it shall be marked with "identical to the originals" and signed by the applicant or by a designated representative or jointly entrusted agent.

3. For enterprises applying for registration online throughout the process, the proof of entity qualification, proof of identity, approval certificate, articles of association, resolution and other documents can be submitted as images (photocopies) of the originals through the electronic registration system. Alternatively, relevant materials can be generated and used through the standard format application document set out by the registration business system.

4. Where a signature is involved in the materials submitted, follow notes regarding the applicant contained in the application form; if the signatory is not specified, natural persons shall sign personally; for legal persons and other organizations, the materials shall be signed by the legal representative, person in charge or authorized signatory, and stamped with an official seal. People unable to sign in person shall submit a power of attorney with their in-person signature to authorize another person to sign. The power of attorney submitted should be the original copy and the entrusted person shall cooperate with the registration authority for real-name authentication.

5. If the submitted materials and notarized and certified documents are in foreign languages, the content shall be immaculately translated into Chinese. The Chinese translations and the original documents in a foreign language shall be submitted at the same time, with an explicit expression that "This translation is accurate". The translation shall bear the official seal of the translation service provider (special seal for translation) or be attached with a photocopy of the business license or other qualification certificates of the translation service provider. The translator and his/her contact information shall be provided. For translation by a natural person, the natural person shall sign the translation, specify contact information and attach a photocopy of his/her translation qualification certificate or identity document.

6. While the registration and filing procedures are handled, the applicant shall cooperate with registration authorities to complete real-name authentication for relevant personnel via facial recognition or other methods in the real-name authentication system. Where the persons involved are unable to complete the identity authentication through the real-name authentication system due to special reasons, lawfully notarized identity documents can be submitted or the person involved can bring their identity documents to complete the process on site.
