I. Registration of change(s) to a sole proprietorship enterprise

1.  Basic materials required

(1) One original application form for registration (filing) of sole proprietorship enterprises (see the notes on the template of the application form for specific requirements; since Beijing implements the notification-commitment system for registration for market entities, a letter of commitment shall also be submitted at the same time if the branch concerned apply through the notification-commitment system);

(2) One original copy of the business license and one original copy of the duplicate of the business license (any enterprise using a paper version of the business license is required to submit both the original copy and the duplicate);

2. For changes of the domiciles: a photocopy of the document proving the legal use of the domicile (business premises) is required (a photocopy of the property ownership certificate signed or sealed by the owner; in the case where the property owner is a natural person, the copy should be signed by the concerned natural person him/herself; where the property owner is an entity, the seal of the entity should be affixed; please refer to the General Guidelines for Registration of Market Entities for details under other circumstances);

3. For changes of business scopes: a photocopy of the document showing legal use of the domicile (business premises) is required (a photocopy of the property ownership certificate signed or sealed by the owner; in the case where the property owner is a natural person, the copy should be signed by the concerned natural person him/herself; where the property owner is an entity, the seal of the entity should be affixed; please refer to the General Guidelines for Registration of Market Entities for details under other circumstances);

4. For changes of investors

(1) One original transfer agreement and one photocopy of the identity document of each new investor (for registering with paper materials, a photocopy of the identity document should be attached to the application.)

(2) One original copy and one photocopy of each effective legal document (if the investor has been changed due to inheritance or legacy, notarized documents or effective legal documents and other inheritance certificates shall be submitted.)

5. For changes of names or residences of investors

(1) One photocopy for each document showing the investor's new name and residence;

(2) A photocopy of the investor's new identity document or residence permit (in the case where the identity document number of a natural person remains the same as before the change of name, it is not necessary to submit the relevant certificate issued by the public security authority in charge and only a photocopy of the new identity document is required);

6. One original letter of notification-commitment for registration of market entities in Beijing (any enterprise registering through the notification-commitment system is required to submit the Notification-Commitment System for Registration for Market Entities in Beijing – Letter of Commitment of Investor (Legal Representative) and the Notification-Commitment System for Registration for Market Entities in Beijing – Letter of Commitment of Submitter).

1. Application documents for registration and other application materials submitted shall be neatly filled out and signed on A4 white paper with a black or blue ink or a felt-tip pen.

2. For the on-site submission of materials, in the case where the photocopies of a type of materials are not specifically required, the original copies shall be submitted (the photocopies not marked as such will be treated as original copies); in the case where a photocopy is submitted, the photocopy shall be marked with "consistent with the original" and signed by the applicant, a designated representative or a jointly entrusted agent.

3. For any enterprise applying for registration in a fully electronic manner, the scanned images (photocopies) of the qualification certificate of entity, identity document(s), approval certificate, articles of association, resolution, and other documents can be submitted through the electronic registration system. Alternatively, relevant materials can be generated with the standard templates for application documents set by the registration system.

4. Regarding the signatures of the submitted materials, please refer to the notes about the applicant on the template of the application form. In the case where no signatory is indicated, if the applicant is a natural person, then he/she shall sign the application form; if the applicant is a juridical person or an organization of any other kind, the application form shall be signed by the legal representative, the person in charge or the authorized signatory of the applicant, with an official seal affixed. If the handwritten signature cannot be obtained, a letter of authorization signed by an authorizing person is required to permit an entrusted person to sign. This letter of authorization must be an original copy signed by the authorizing person, and any entrusted person shall cooperate with the registration authority in terms of real-name authentication.

5. If the materials and notarial certification documents submitted are in foreign languages, the contents thereof shall be accurately translated into Chinese. Both the Chinese translation and the original documents in foreign languages shall be submitted, and the words "The translation is accurate" shall be clearly marked. The translation company shall affix their official seal (a special seal for translation services) on the translated copy(ies), or attach the photocopies of the business license and other qualification documents, indicating the translator and the relevant contact information. In the case where the translator is an individual, the translated copy(ies) shall be signed by the translator while the contact information shall be indicated, and a photocopy of the translator's translation qualification certificate or identity certificate shall be attached.

6. During the registration and filing processes, the applicant shall cooperate with the responsible registration authority to verify the real name of the relevant personnel through face recognition or other means of identity confirmation. When the individual concerned is unable to verify his/her identity through an authentication system for any reason, he/she may submit the identity certificate of a natural person notarized according to the relevant laws, or take identity documents to the aforementioned service centers for in-person registration.
